Munich – Listed US group Illinois Tool Works Inc. (ITW), headquartered in Glenview, Illinois, has acquired AppliChem, a biochemical and fine chemicals company based in Darmstadt. The company currently has 130 employees and generates around 50% of its sales in 70 countries throughout the world. AppliChem is due to be integrated into ITW’s Performance Polymers & Fluids unit.
A team from CMS Hasche Sigle led by lead partner Alexander Ballmann advised the AppliChem shareholders on all legal aspects of the transaction.
AppliChem was established in 1992 in Gatersleben (Saxony-Anhalt) as a manufacturer of reference substances for environmental analysis. Just one year later, the company opened laboratories in Darmstadt. In addition to reference substances, it offered services for the chemical products segment and the synthesis of organic and inorganic chemicals for the pharmaceutical and chemical industry and for biotechnological research. Today, AppliChem is a service provider and upstream supplier to the chemical-pharmaceutical and biotechnology industry.
ITW, a Fortune 200 company, develops and manufactures a comprehensive range of innovative fasteners, system components and technical durable and non-durable goods. Some 825 business units and around 60,000 employees in 52 countries are now part of the ITW success story, which spans almost 100 years. The group generated sales of USD 15.4 billion in the 2010 fiscal year, more than half of which from outside the USA.
